Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the BUSPORTAL platform, a SaaS (Software as a Service) solution for managing passenger transportation operations.

BUSPORTAL is developed and operated by ITNET LLC (EDRPOU 39587884), registered at 72/20 Ch. Kalyny Ave., Lviv 79016, Ukraine ("Licensor").

By accessing or using the BUSPORTAL platform, you ("Licensee") agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Definitions

The following terms are used throughout this document:

  • Platform (BUSPORTAL) — the cloud-based SaaS application for managing passenger transportation operations.
  • Licensor — ITNET LLC, the developer and operator of BUSPORTAL.
  • Licensee — a legal entity or individual entrepreneur using the Platform under a license agreement.
  • Super-Administrator (Root) — the primary account holder with full administrative privileges.
  • Users — individuals granted access to the Platform by the Licensee.
  • SLA (Service Level Agreement) — the guaranteed service quality and support parameters.
  • Tariff — the selected pricing plan determining the scope of available features and support level.
  • Booking Website — a public-facing website for ticket sales, optionally provided as part of the Platform.

3. Subject and License Terms

The Licensor grants the Licensee a simple (non-exclusive) license to use the BUSPORTAL cloud-based SaaS platform for the duration of the agreement.

The Platform is hosted on the Licensor's servers and accessed via web browsers and mobile applications. Source code is not provided to the Licensee.

The license is non-transferable and may not be sublicensed without written consent from the Licensor.

4. Included Support Services

The following services are included in the license fee:

  • Platform monitoring and availability (24/7).
  • Technical support according to the selected tariff.
  • Bug detection and resolution.
  • Security updates and patches.
  • Functional improvements and feature updates.
  • Daily data backups on geographically distributed servers.
  • Notification of planned maintenance and changes.

5. Services Not Included

The following services require a separate agreement and additional fees:

  • Custom feature development.
  • Individual platform customization.
  • Integration with third-party systems.
  • Extended training programs.
  • Data migration from other systems.
  • SEO optimization of the booking website.

6. SLA and Support Levels

BUSPORTAL guarantees platform availability of at least 98.5%. Three support levels are available depending on the selected tariff:

  • STANDARD — email support, Mon-Fri 9:00-17:00.
  • PROFESSIONAL — email + phone support, Mon-Fri 8:00-20:00.
  • ENTERPRISE — email + phone + chat support, including weekends.

7. Security and Backups

The Licensor implements the following security measures to protect Platform data:

  • HTTPS/TLS encryption for all data transmission.
  • User authentication and role-based access control.
  • Regular security patches and updates.
  • Daily backups on geographically distributed servers.
  • Maximum recovery time of 4 hours in case of server failure.

8. Rights and Obligations

The Licensor reserves the right to: receive timely payment, update the Platform with 72-hour advance notice for planned maintenance, and suspend access in case of Terms violations.

The Licensee is obligated to: make timely payments, ensure security of account credentials, use the Platform lawfully, and comply with data protection legislation.

9. Pricing

BUSPORTAL offers three base tariff plans: Standard, Professional, and Enterprise. Pricing includes a monthly subscription fee plus a percentage of ticket sales processed through the Platform.

Specific pricing details are provided upon request and formalized in the individual license agreement. Prices may be adjusted annually by no more than 10%.

10. Limitation of Liability

The Licensor's liability is limited to one monthly payment (or three monthly payments for the entire contract term). The Licensor is not liable for indirect damages, losses resulting from misuse of the Platform, or actions of third parties.

SLA credit: 2% per hour of unplanned downtime exceeding the guaranteed availability, up to a maximum of 10% of the monthly fee.

11. Confidentiality

Both parties agree to maintain confidentiality for 3 years after the termination of the agreement. Confidential information includes: agreement terms, client data, API keys, and business processes.

12. Term and Termination

The agreement is effective for 1 year with automatic renewal. Payment is due monthly by the 15th of each month.

The Licensee may terminate the agreement with 30 days' written notice. The Licensor may terminate for non-payment exceeding 10 days, systematic violations, or security threats.

Data is retained for 60 calendar days after termination, after which it may be permanently deleted.

13. Restrictions and Prohibitions

The following activities are strictly prohibited:

  • Reverse engineering, decompilation, or disassembly of the Platform.
  • Copying, distributing, or sublicensing the Platform.
  • Conducting denial-of-service attacks or sending spam through the Platform.
  • Using the Platform for any illegal purposes.

14. Intellectual Property

All intellectual property rights in the Platform belong exclusively to the Licensor. The Licensee receives only a non-exclusive license to use the Platform within the scope of the agreement.

15. Dispute Resolution

Disputes shall be resolved through negotiations within 10 business days. If no resolution is reached, disputes shall be submitted to the arbitration court in Lviv, Ukraine, in accordance with the laws of Ukraine.

16. Force Majeure

Neither party shall be liable for failure to perform obligations due to force majeure circumstances. The affected party must notify the other party within 3 days. Either party may terminate the agreement if force majeure persists for more than 3 months.

17. Data Usage

The Licensor may collect anonymized and aggregated usage data to improve the service, for analytics, and marketing purposes, without disclosing personal data. This does not apply to data obtained through Google API integrations, which is governed exclusively by Section 7 of the Privacy Policy and the Google API Services User Data Policy. The Licensee receives daily reports including ticket sales, revenue, and route popularity.
